DIYZIGN Beta Program Agreement

1. About This Agreement

This Beta Program Agreement governs your participation in the beta version of the DIYZIGN platform ("DIYZIGN," the "Service," "we," "us," or "our"), operated by DIYZIGN LLC, a Delaware limited liability company.

This Beta Agreement is in addition to, and is incorporated into, our Terms and Conditions and our Privacy Policy. By accessing or using the beta version of DIYZIGN, you agree to this Beta Agreement, our Terms and Conditions, and our Privacy Policy. If you do not agree, do not access or use the beta.

If this Beta Agreement conflicts with our Terms and Conditions with respect to your use of the beta, this Beta Agreement controls for the beta — except on payment and on ownership of what you create, where our Terms and Conditions control. See Section 17.

2. The Beta Program

DIYZIGN is currently offered as a pre-release "beta" version, made available for testing, evaluation, and feedback. The beta is a work in progress. It is experimental, may contain errors or inaccuracies, and may not operate as intended. Features may be incomplete, may change, or may be removed at any time without notice.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to participate in the beta. By participating, you represent and warrant that you meet these requirements.

4. Limited License

Subject to your compliance with this Beta Agreement, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the beta solely for your own evaluation and use during the beta period. We may modify, suspend, or terminate this license and your access at any time, for any reason or for no reason, with or without notice.

5. No Warranties — Beta Provided "As Is"

THE BETA IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the beta will be uninterrupted, secure, error-free, or that any defects will be corrected. You use the beta at your own risk.

6. Design Outputs — No Guarantee of Accuracy or Buildability

DIYZIGN generates designs, 3D visualizations, dimensions, measurements, bills of materials, cut lists, and build instructions (collectively, "Design Outputs") based on the information you provide. Design Outputs are generated automatically and are provided for general informational and planning purposes only.

We do not guarantee that any Design Output is accurate, complete, structurally sound, safe, code-compliant, or suitable for any particular purpose. Dimensions, quantities, materials, and instructions may contain errors. You are solely responsible for independently verifying all Design Outputs before relying on them, including verifying measurements, material quantities, structural adequacy, and load-bearing capacity.

For any project involving structural loads, weight-bearing elements, permanent installation, electrical or plumbing work, or other safety considerations, you should consult a qualified professional (such as a licensed engineer, architect, or contractor) and confirm compliance with all applicable building codes and regulations. DIYZIGN is a design and planning tool. It is not a substitute for professional engineering, design, or construction advice.

7. Assumption of Risk — Tools, Materials, and Construction

Woodworking and do-it-yourself construction involve inherent risks, including the use of power tools and hand tools, sharp objects, heavy materials, and hazardous conditions, and may result in serious injury, property damage, or death. You understand and voluntarily accept all such risks.

You are solely responsible for your own safety and the safety of others; for the proper and safe use of all tools and materials; for following all manufacturer instructions and safety guidelines; and for complying with all applicable laws and regulations. You assume all risk and responsibility arising from any project you plan, build, or attempt using DIYZIGN or any Design Output.

8. Service Availability

The beta may be unavailable, interrupted, or discontinued at any time. We may impose limits on certain features, or restrict access to parts or all of the beta, without notice or liability.

9. Changes to the Beta

We may add, change, suspend, or remove features of the beta at any time. We are under no obligation to provide any particular feature, to continue the beta, or to release a general availability version of DIYZIGN.

10. Your Content and Data — No Guarantee of Preservation

You may create, upload, or generate content through the beta, including prompts and Design Outputs ("Your Content"). We handle Your Content as described in our Privacy Policy. Ownership of Your Content and of Design Outputs is addressed in our Terms and Conditions.

Because this is a beta, we do not guarantee that Your Content will be stored, retained, backed up, or preserved. Your Content may be lost, corrupted, or deleted at any time, and may not be carried over to any future version of DIYZIGN. You are responsible for keeping your own backups of anything important to you. We are not liable for any loss of Your Content.

This section does not apply to anything you have paid for. If you purchase a build plan, an unlock credit, or a subscription, the commitments we make about that purchase in our Terms and Conditions apply in full and are not cut back by this section — including that a purchased build plan stays unlocked, that unlock credits do not expire, and that both survive the end of the beta. See Section 17.

11. Feedback

We welcome your feedback. If you provide us with any feedback, suggestions, ideas, bug reports, or other input regarding the beta ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, and sublicensable license to use, reproduce, modify, and otherwise exploit the Feedback for any purpose, without any obligation to compensate or credit you. Feedback is not your confidential information.

12. Publicity — You May Share Your Experience

We do not require you to keep your participation in the beta confidential. You are free to discuss, review, and share your experience with DIYZIGN — including screenshots and projects you create — on social media and elsewhere, and we would love it if you did. You remain responsible for anything you choose to share, and you must not share any non-public information that we expressly designate as confidential, or any other person's personal or private information.

13. No Guarantee of Future Access or Pricing

Your participation in the beta does not entitle you to access any future or general availability version of DIYZIGN. Any free or promotional access during the beta does not establish any future pricing and does not entitle you to free or discounted access after the beta ends, unless we expressly tell you otherwise in writing. We may begin charging for DIYZIGN, change our pricing, or change which features are paid, at any time.

This section is about free access. Anything you have actually paid for is yours and survives the beta — see Sections 10 and 17.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL DIYZIGN LLC OR ITS OWNERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR ANY PROPERTY DAMAGE OR PERSONAL INJURY, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE BETA OR ANY DESIGN OUTPUT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE BETA WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US TO USE THE BETA IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless DIYZIGN LLC and its owners, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the beta or any Design Output; (b) any project you build or attempt to build; (c) Your Content; or (d) your violation of this Beta Agreement or of any applicable law or third-party right.

16. Retailer Links and Advertising

The beta includes links to third-party retailers, including within bills of materials and cut lists, so you can price or buy what a project needs. Some of these may be affiliate links, meaning we may earn a commission on qualifying purchases — at no extra cost to you, and without affecting which materials a design calls for. Where that applies, it is disclosed where the links appear.

Material quantities and prices we show are estimates to help you plan, not quotes. Third-party sites are governed by their own terms and privacy practices, which we do not control. Following a retailer link does not send that retailer your name, email address, or account information.

DIYZIGN does not currently display third-party advertising. If we introduce it, we will say so in this Agreement and in our Privacy Policy before we do.

17. Paid Purchases and Ownership — Governed by the Terms and Conditions

DIYZIGN is free to use for designing. Some things are paid: a one-time build plan that unlocks a project's materials list, cut list, instructions and printable PDF; packs of unlock credits; and the Maker subscription. Where a free trial of a subscription is offered, its length and terms are stated at checkout before you provide payment details, and the subscription converts to a paid subscription automatically when the trial ends unless you cancel first.

Two subjects are governed entirely by our Terms and Conditions, and not by this Agreement:

1. Payment. Prices, billing, automatic renewal, free trials, cancellation, price changes, and taxes. 2. Ownership. Who owns Your Content and the Design Outputs you generate, and the licence each of us grants the other.

For those two subjects, the Terms and Conditions control, and Section 1 of this Agreement does not give this Agreement precedence over them. This is deliberate: this Agreement exists to set expectations about a pre-release product, and it should not be capable of cutting back a commitment we made when you paid us.

Our refund policy is published at https://app.diyzign.ai/legal/refunds and applies to purchases made through our website. Purchases made inside a mobile app are processed, cancelled and refunded by Apple or Google under their own terms.

Where we describe something as "unlimited," we mean there is no set numerical cap under normal personal use. We may apply reasonable limits to prevent automated, bulk, or abusive use that degrades the beta for others, and we will tell you if a limit affects you. We will not use this to withhold deliverables for a project you have already paid for.

18. Termination

We may suspend or terminate your access to the beta at any time, for any reason or for no reason, with or without notice. Upon termination, the license granted in Section 4 ends immediately. Provisions that by their nature should survive termination (including Sections 5 through 7, 10 through 11, and 13 through 17) will survive.

Terminating your access to the beta does not, by itself, take away anything you have purchased. If we end your access for a reason other than your breach of this Agreement, we will refund any unspent unlock credits and the unused portion of any subscription you have paid for.

19. Governing Law and Disputes

This Beta Agreement is governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.

The dispute-resolution provisions of our Terms and Conditions — including the requirement to first attempt informal negotiation, the agreement to resolve disputes through binding individual arbitration, the waiver of class actions and representative proceedings, and the exceptions to arbitration (including for disputes relating to intellectual property and for claims seeking injunctive relief) — apply to any dispute arising out of or relating to this Beta Agreement to the same extent as they apply under the Terms and Conditions. To the extent any dispute is not subject to arbitration, you and we agree that it will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

20. Changes to This Agreement

We may update this Beta Agreement from time to time. If we make material changes, we will take reasonable steps to notify you, such as by posting the updated version with a new "Last updated" date. Your continued use of the beta after changes take effect means you accept the updated Beta Agreement.
